LEGACY DRIVEN FOUNDATION, INC. (LDF)

This Non-Disclosure Agreement (“Agreement”) is entered into as of [Date], by and between Legacy Driven Foundation, Inc., a nonprofit corporation organized under the laws of the State of Georgia (“Organization”), and [Board Member and/or Mentor Name] (“Board Member”) as stated below.

1. Purpose
In connection with Board Member’s role and service to the Organization, Board Member will have access to certain confidential and proprietary information (“Confidential Information”).

2. Confidential Information
“Confidential Information” includes, but is not limited to, financial records, donor lists, strategic plans, meeting discussions, personal information about staff, volunteers, students, families, or partners, and any other information designated as confidential by the Organization.

3. Non-Disclosure Obligation
Board Member agrees to:
a) Keep all Confidential Information strictly confidential and not disclose it to any third party without the Organization’s prior written consent;
b) Use Confidential Information solely for the purpose of fulfilling Board Member duties;
c) Take reasonable steps to protect and prevent unauthorized disclosure of Confidential Information.

4. Return of Materials
Upon the termination of Board Member’s service, or upon request, Board Member shall promptly return or destroy all Confidential Information in any form.

5. Duration
This Agreement and Board Member’s confidentiality obligations shall survive the termination of Board service and remain in effect for a period of three (3) years thereafter.

6. Governing Law
This Agreement shall be governed by the laws of the State of Georgia.

7. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes any prior discussions or agreements on this subject.
